MERRISH

1. INTRODUCTION

These Terms and Conditions ("Terms") constitute a legally binding agreement between the user ("User," "You," "Your") and MERRISH ("Company," "We," "Our," "Us"). These Terms govern your access to and use of the MERRISH website and services, including all content, functionality, and tools available at www.merrish.in (the "Platform"). By accessing or using the Platform in any manner—including but not limited to visiting or browsing the website, registering an account, posting content, or engaging with services—you agree to be bound by these Terms in their entirety, along with our Privacy Policy and any other applicable guidelines or policies that may be published by MERRISH from time to time.

MERRISH is a digital marketplace and discovery platform focused on wedding planning services. It serves as a conduit between individuals or entities seeking wedding-related services (hereinafter referred to as "Clients") and independent third-party service providers who offer such services (hereinafter referred to as "Vendors"). These services may include, but are not limited to, photography, catering, decor, event planning, bridal wear, venue booking, entertainment, and makeup artistry.

The Platform facilitates interaction, communication, booking inquiries, reviews, and transactions between Clients and Vendors. MERRISH itself does not own, control, or manage the services offered by Vendors. Except where explicitly stated otherwise, MERRISH is not a party to any agreement entered into between Clients and Vendors and bears no responsibility for the conduct, performance, or availability of either party. The use of the Platform is at your own risk and subject to the disclaimers and limitations of liability detailed in these Terms.

Your continued use of the Platform constitutes your ongoing agreement to these Terms, as they may be updated or amended by MERRISH from time to time. If you do not agree to be bound by the Terms, including any future modifications, you must immediately discontinue use of the Platform.
 
2. DEFINITIONS

To ensure clarity and consistency throughout these Terms, the following definitions shall apply:

 

  • Platform: Refers to the official website www.merrish.com and all associated digital assets, including mobile applications, subdomains, widgets, APIs, email communications, customer support tools, and other services or interfaces owned, operated, or managed by MERRISH. The Platform serves as a digital medium that facilitates the interaction between Clients and Vendors in the wedding services domain.
     

  • User: Any individual or legal entity who accesses, browses, registers on, or otherwise utilizes any aspect of the Platform. This term encompasses both Clients and Vendors, as well as any unregistered visitors.
     

  • Client: A User who utilizes the Platform to search for, evaluate, connect with, or engage Vendors for the purpose of obtaining wedding-related services. This includes individuals planning their own weddings or events, their family members, representatives, and event planners acting on their behalf.
     

  • Vendor: A User who is either an individual service provider or a legally constituted business entity that offers products or services related to weddings, such as but not limited to photographers, makeup artists, wedding planners, decorators, caterers, florists, designers, rental providers, venues, and entertainers. Vendors are listed on the Platform either by self-registration or by MERRISH based on publicly available data or user-submitted information.
     

  • Listing: The digital profile created or maintained on the Platform by or on behalf of a Vendor. A Listing may include the Vendor’s business name, contact details, service descriptions, portfolios, photographs, videos, pricing, service locations, reviews, ratings, and other promotional or contractual information. Listings are intended to showcase a Vendor's offerings and facilitate decision-making by Clients.
     

  • Content: All data, media, and information submitted, uploaded, published, or otherwise made available on the Platform by any User, including but not limited to text descriptions, images, videos, logos, service details, reviews, feedback, messages, and other multimedia. Content may be created by Users, auto-generated from third-party sources, or curated by MERRISH.
     

  • Lead: A communication initiated by a Client through the Platform with the intention of seeking more information, negotiating terms, or requesting a quotation or booking with a Vendor. A Lead may take the form of a direct message, inquiry form, booking request, phone call request, or any other medium facilitated by the Platform to initiate Vendor engagement.


3. ELIGIBILITY

By accessing or using the Platform, you represent and warrant to MERRISH that you meet all of the following eligibility criteria. If you do not meet these requirements, you are not permitted to use the Platform:

 

  • Minimum Age Requirement: You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater. Users under the age of 18 are strictly prohibited from creating an account, submitting content, or engaging in any transaction on the Platform. MERRISH does not knowingly collect or solicit information from individuals under the age of 18.
     

  • Legal Capacity: You must have full legal capacity and authority to enter into a binding agreement under applicable laws. This includes being of sound mind and not subject to any legal disqualification or restriction that would prevent you from entering into contractual obligations.
     

  • Compliance with Laws: You must not be barred from accessing or using the Platform under any applicable laws, regulations, or court orders, whether local, national, or international. This includes individuals or entities who have been previously suspended, removed, or blacklisted by MERRISH for violations of these Terms or other misconduct.
     

  • Authorized Representatives (Where Applicable): If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are duly authorized to act on behalf of and bind such entity to these Terms. MERRISH reserves the right to request proof of such authorization.


MERRISH reserves the right to refuse access to or suspend the account of any User who is found to be ineligible or in violation of the above criteria. Continued access to the Platform constitutes an ongoing representation by the User that they remain eligible under the conditions outlined in this section.
 
4. GENERAL TERMS APPLICABLE TO ALL USERS

4.1 Account Registration

  • Users may be required to create and maintain an individual or business account to access certain features and functionalities of the Platform. Account creation may involve submission of personal and/or business information, verification of identity, and agreement to additional policies.
     

  • You agree to provide true, accurate, current, and complete information during the registration process and to promptly update such information to maintain its accuracy. MERRISH reserves the right to suspend or terminate your account if any information provided is found to be false, misleading, or incomplete.
     

  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including username, password, or other identifying information. You agree not to disclose your credentials to any third party and are fully responsible for all activities that occur under your account.
     

  • You agree to notify MERRISH immediately at support@merrish.com of any unauthorized access to or use of your account or any other breach of security. Failure to do so may result in loss of data, unauthorized transactions, or account misuse, for which MERRISH shall bear no responsibility.
     

  • MERRISH may, in its sole discretion, limit, suspend, or terminate your account if you engage in any activity that violates these Terms, is harmful to the Platform, or poses a security risk.
     

  • Each User is permitted to maintain only one active account per individual or business entity unless otherwise explicitly authorized by MERRISH. Duplicate or multiple accounts may be disabled or merged at MERRISH's discretion.
     

  • User accounts are non-transferable. You may not assign, sell, sublicense, or otherwise transfer your account or access credentials to any third party without prior written consent from MERRISH.
     

  • MERRISH reserves the right to conduct identity verification checks, including requiring the submission of official government-issued identification documents, corporate registration certificates, or other legally admissible documentation.
     

4.2 Platform Access and Usage

  • You agree to use the Platform in strict compliance with all applicable local, state, national, and international laws and regulations and solely for lawful purposes consistent with these Terms.
     

  • You shall not:
     

    • Use the Platform for any illegal, harmful, fraudulent, or deceptive purpose.

    • Interfere with or disrupt the integrity, operation, or performance of the Platform or its connected servers and networks.

    • Circumvent, disable, or otherwise interfere with security-related features of the Platform or features that enforce limitations on use.

    • Use the Platform in any manner that could damage, disable, overburden, or impair its functionality or restrict others’ ability to use the Platform.

    • Introduce or disseminate any viruses, ransomware, spyware, worms, logic bombs, or any other harmful or malicious code.

    • Gain or attempt to gain unauthorized access to any systems, networks, data, or user accounts associated with the Platform.

    • Use the Platform to collect or harvest any personal information of other Users for any unauthorized or unlawful purpose.

    • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

    • Use any automated systems, such as bots or scrapers, to extract data from the Platform without express written permission.
       

  • MERRISH may, at any time and without notice, update, modify, suspend, or terminate any aspect or feature of the Platform, including restricting access to certain features or users.
     

  • MERRISH employs system monitoring tools to ensure the integrity and security of the Platform and may log usage data and behavior to detect abuse or violations of these Terms.
     

4.3 Intellectual Property

  • All intellectual property rights in and to the Platform and its content (excluding User Content) are owned by or licensed to MERRISH. This includes but is not limited to software code, user interfaces, design elements, trademarks, logos, databases, and multimedia content.
     

  • Unauthorized use, reproduction, modification, distribution, transmission, display, or performance of any Platform Content without the express prior written permission of MERRISH or its licensors is strictly prohibited and may result in legal action.
     

  • You acknowledge that MERRISH owns all rights, title, and interest in the Platform, and nothing in these Terms shall be interpreted as granting you any license or rights in or to the Platform Content, except as explicitly permitted under these Terms.
     

  • Users retain full ownership of User Content submitted, uploaded, or posted to the Platform. However, by submitting such content, you grant MERRISH a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with the Platform’s operation and promotion.
     

  • You further represent and warrant that you have the right to grant such license and that the content you provide does not violate any applicable laws, infringe any third-party rights, or contain any confidential information.
     

  • Any suggestions, feedback, or ideas submitted by you to MERRISH regarding the Platform shall be considered non-confidential and non-proprietary. MERRISH may use such submissions without any obligation to compensate you.
     

4.4 Prohibited Content and Activities

  • Users shall not post, upload, publish, submit, or transmit through the Platform any content or engage in any activity that:
     

    • Is false, misleading, or fraudulent, including impersonation of any person or misrepresentation of affiliation.

    • Infringes, misappropriates, or violates any intellectual property, privacy, publicity, or proprietary rights of any third party.

    • Is defamatory, libelous, slanderous, obscene, indecent, pornographic, sexually explicit, offensive, abusive, harassing, violent, threatening, or hateful.

    • Promotes or incites racism, bigotry, hatred, harassment, or harm against any individual or group based on race, religion, gender, sexual orientation, ethnicity, disability, or age.

    • Constitutes unsolicited or unauthorized advertising, spam, pyramid schemes, chain letters, or any other form of solicitation.

    • Contains viruses, worms, corrupted files, malware, or other programs intended to interfere with the proper functioning of the Platform or other users' devices.

    • Violates any applicable law, regulation, or contractual duty, or promotes any activity that is illegal or harmful.
       

  • Users are prohibited from posting fabricated, incentivized, or malicious reviews or ratings intended to manipulate Vendor reputations or Client decision-making.
     

  • Users may not rehost, scrape, or reproduce any content from the Platform without explicit permission, except as otherwise permitted under applicable copyright fair use provisions.
     

  • MERRISH reserves the right, but has no obligation, to monitor, review, remove, or restrict any content or activity that it deems, in its sole discretion, to be in violation of these Terms, or that may be harmful to the Platform, its Users, or the reputation of MERRISH.
     

  • Users are encouraged to report any violations, abuse, or suspicious activities through the appropriate reporting mechanisms or by contacting compliance@merrish.com.
     

  • Repeated violations of this section may result in temporary suspension, permanent termination of account access, legal action, and/or notification to relevant authorities

 
5. TERMS SPECIFIC TO CLIENTS

5.1 Booking and Communication

  • Clients may access and browse the Platform to explore Vendor listings, portfolios, user reviews, service categories, estimated pricing, availability calendars, and other publicly accessible information.
     

  • Clients may initiate communication with Vendors through the Platform’s integrated communication tools, including lead forms, direct messaging systems, or third-party integrations.
     

  • MERRISH facilitates the initial contact but does not monitor, mediate, or guarantee the success of the communication or any resulting negotiation.
     

  • Any subsequent discussions, proposals, quotations, service contracts, or bookings are exclusively between the Client and Vendor. The Client assumes full responsibility for all terms agreed upon with the Vendor.
     

  • MERRISH recommends that Clients clearly document the scope of services, pricing, timelines, payment schedules, and cancellation policies before confirming a booking. All agreements should be formalized in writing, and MERRISH is not responsible for verbal or informal commitments.
     

5.2 No Endorsement or Guarantee

  • MERRISH provides a neutral platform and does not operate as an agent, representative, or broker for any Vendor. Listings are for informational purposes and should not be construed as verification or certification of services.
     

  • MERRISH does not verify all Vendor claims (such as years of experience, awards, or client lists) unless explicitly mentioned. Clients are advised to independently assess and verify any claims made.
     

  • The appearance of a Vendor in featured sections, top rankings, or advertisements does not imply a preference or guarantee by MERRISH.
     

  • MERRISH disclaims liability for any loss, damages, delays, or unsatisfactory outcomes resulting from Vendor performance or misrepresentation, including but not limited to: missed events, unprofessional conduct, delivery failure, or breach of contract.
     

5.3 Payments and Refunds

  • Clients may be able to make payments to Vendors via MERRISH’s integrated payment services, powered by licensed third-party payment processors compliant with applicable financial regulations.
     

  • MERRISH does not store or have access to full cardholder or banking information. Transactions are encrypted and subject to third-party processor terms and conditions.
     

  • Each Vendor may have its own refund, cancellation, postponement, and rescheduling policies, which must be agreed upon prior to booking. MERRISH encourages Clients to review these terms thoroughly.
     

  • In the event of cancellations or disputes, MERRISH is not obligated to intervene, mediate, or refund payments unless otherwise specified under a formal protection policy (if offered).
     

  • Chargebacks initiated through banks or credit card providers are the responsibility of the Client and Vendor to resolve. MERRISH may suspend accounts involved in disputed transactions until resolved.
     

  • Clients are solely responsible for verifying total costs, taxes, and surcharges before making a payment.
     

5.4 Reviews and Feedback

  • After completion of services, Clients may leave a review or rating describing their personal experience. Reviews should be constructive, civil, and fact-based.
     

  • MERRISH prohibits reviews that are:
     

    • Based on hearsay or second-hand accounts;

    • Submitted in exchange for incentives, discounts, or promotions;

    • Used as blackmail or threats to influence Vendors;

    • Plagiarized or copied from other platforms.
       

  • MERRISH reserves the right to use automated and manual moderation to assess and remove reviews. This includes detecting patterns of review manipulation, conflicts of interest, or coordinated negative campaigns.
     

  • Vendors may be allowed to publicly respond to reviews in a civil manner. However, attempts to retaliate or harass Clients through the Platform or off-platform channels will result in Vendor penalties.
     

  • MERRISH may, at its discretion, archive or publicly display reviews, ratings, and feedback as part of marketing, promotional content, or platform transparency tools.
     

  • Submission of reviews grants MERRISH a non-exclusive, royalty-free, perpetual license to reproduce, distribute, and publicly display the content in connection with its business operations.
     

5.5 Client Code of Conduct
To maintain the integrity, safety, and positive experience of all Platform users, Clients must adhere to the following code of conduct:

  • Truthful Information: Clients must provide accurate and truthful information when creating an account, communicating with Vendors, or submitting reviews and inquiries.
     

  • Respectful Behavior: Clients must treat all Vendors, MERRISH representatives, and other users with courtesy and respect. Harassment, abusive language, discrimination, and threats are strictly prohibited.
     

  • Good Faith Engagement: Clients shall not submit leads, inquiries, or booking requests with malicious intent, including testing Vendor responses without actual intent to book, impersonating others, or creating fake events.
     

  • Non-Circumvention: Clients may not attempt to bypass the Platform’s communication or payment processes by contacting Vendors outside the Platform solely to avoid platform fees or obligations.
     

  • Intellectual Property Compliance: Clients may not upload, distribute, or use copyrighted or proprietary material without proper authorization.
     

  • No Illegal or Prohibited Use: Clients must not use the Platform for any purpose that is illegal, harmful, or fraudulent, including soliciting unlawful services or transmitting malicious software.
     

  • Respecting Vendor Boundaries: Clients shall not coerce, pressure, or manipulate Vendors into providing services outside of agreed terms, or request services that are beyond the scope of the Vendor’s listing.
     

  • Review Ethics: Clients must not misuse the review system to unfairly damage a Vendor’s reputation or extort discounts/refunds through threats of negative feedback.
     

  • Confidentiality and Data Use: Clients shall respect the confidentiality of Vendor proposals, pricing, and communications, and must not misuse or disclose such information without permission.
     

Violations of this code of conduct may result in warnings, suspension, removal of account access, reporting to legal authorities (where applicable), or permanent banning from the Platform.
  
6. TERMS SPECIFIC TO VENDORS

6.1 Vendor Obligations

  • Vendors represent and warrant that they:
     

    • Hold all necessary licenses, permits, and approvals required under applicable local, regional, and national laws to provide their listed services.
       

    • Will ensure that all listing information—including service descriptions, pricing, availability, qualifications, and prior work samples—is accurate, complete, and regularly updated.
       

    • Will perform all accepted bookings and deliver promised services in a professional, timely, and competent manner in accordance with agreed terms.
       

    • Will not engage in discriminatory or unlawful practices in the provision of services.
       

6.2 Listing and Profile Content

  • Vendors are solely responsible for all content displayed in their listings, including but not limited to text descriptions, photographs, logos, videos, price information, and availability.
     

  • Vendors must not:
     

    • Use misleading titles, stock images without rights, or false qualifications.
       

    • Infringe on copyrights, trademarks, or personality rights of third parties.
       

    • Copy or plagiarize other Vendors’ content from within or outside the Platform.
       

  • MERRISH may, in some cases, create initial Vendor profiles using publicly available information or aggregated client reviews. Vendors may claim these profiles after verification and request edits or removals if necessary.
     

  • All listing enhancements, upgrades, featured positions, or promotional placements may be subject to additional fees as outlined in MERRISH’s vendor plans.
     

6.3 Leads and Client Engagement

  • MERRISH may share potential Client leads with Vendors through Platform tools such as inquiry forms, messaging dashboards, or email alerts. These leads are generated organically or through promotional efforts.
     

  • Vendors understand that lead sharing does not guarantee booking conversion. Vendors are expected to:
     

    • Respond to leads within 24–48 hours (or as reasonably possible);
       

    • Maintain professional tone and clarity in all communication;
       

    • Follow through on proposals, quotes, and conversations initiated via the Platform.
       

  • Repeated failure to respond to leads, unprofessional behavior, or client complaints may result in account penalties or delisting.
     

6.4 Payments and Commission

  • MERRISH may charge Vendors platform usage fees, listing fees, commissions on successful bookings, or service fees as per agreed terms in the Vendor onboarding or through applicable communications.
     

  • Payment terms, due dates, commission structures, and applicable taxes will be detailed in separate onboarding documentation, emails, or dashboard notifications.
     

  • Vendors agree to promptly remit any dues or commissions owed to MERRISH as per the agreed timeline. Late payments may result in suspension of listings or restricted access to platform features.
     

  • Vendors shall not encourage Clients to bypass MERRISH’s booking or payment systems in order to evade commission or fees (“circumvention”). This is strictly prohibited and subject to account suspension.
     

6.5 Marketing and Content Usage

  • By listing on MERRISH, Vendors grant the Platform a non-exclusive, royalty-free, worldwide, and perpetual license to use their submitted content (including logos, photos, reviews, and service information) for marketing, promotion, advertising, analytics, and editorial purposes.
     

  • MERRISH may feature Vendors across newsletters, blogs, social media, advertisements, print collateral, partner platforms, or during public events and campaigns.
     

  • While MERRISH will make reasonable efforts to ensure fair representation, it is under no obligation to notify Vendors each time their content is used for promotion.
     

6.6 Vendor Code of Conduct
To foster a trustworthy and professional environment for Clients and fellow Vendors, all Vendors must adhere to the following standards:

  • Professional Integrity: Vendors must act in good faith and uphold high standards of professionalism, honesty, and courtesy when interacting with Clients and MERRISH.
     

  • Truthful Listings: Vendors may not exaggerate capabilities, falsify portfolios, misstate availability, or misrepresent staff qualifications.
     

  • Compliance with Law: Vendors must comply with all applicable laws, including those relating to taxation, labor rights, safety, and anti-discrimination.
     

  • Timely Responses: Vendors are expected to respond to Client inquiries and leads in a timely and constructive manner. Ghosting or delayed responses hurt platform trust.
     

  • Respectful Behavior: Vendors must refrain from using offensive language, intimidation tactics, or unprofessional behavior when dealing with Clients, MERRISH staff, or competitors.
     

  • Fair Pricing: Vendors must clearly communicate pricing terms and avoid hidden charges, last-minute upsells, or bait-and-switch practices.
     

  • Data Privacy: Vendors must protect Client data, proposals, and private communications from unauthorized access, misuse, or disclosure.
     

  • Review Ethics: Vendors must not attempt to manipulate their ratings by submitting fake reviews or incentivizing clients to do so. Vendors may not publicly shame Clients for negative feedback.
     

  • No Platform Circumvention: Vendors shall not suggest or encourage Clients to complete transactions off-platform to avoid MERRISH’s fees or visibility metrics.
     

  • Non-Solicitation: Vendors shall not directly solicit other Vendors’ clients or impersonate competing listings.
     

Violations of this code of conduct may lead to warnings, listing suspension, delisting, forfeiture of fees, or permanent account bans. MERRISH reserves the right to report repeated or serious violations to appropriate legal authorities.
 
 
7. CANCELLATIONS AND REFUNDS

7.1 Client-Vendor Agreements

 

  • Clients and Vendors are encouraged to clearly discuss and agree upon cancellation timelines, refund policies, and non-refundable charges (if any) before confirming a booking.
     

  • Each Vendor may have specific terms regarding cancellation windows, partial refunds, or rescheduling. These should be made available transparently in the listing or during the engagement process.
     

7.2 MERRISH’s Role in Transactions
 

  • MERRISH is not a direct party to agreements entered into between Clients and Vendors unless explicitly stated (e.g., where MERRISH facilitates bookings or transactions directly through the Platform).
     

  • In transactions where MERRISH is not a facilitator, MERRISH shall not be held liable or responsible for:

    • Enforcing refund claims;

    • Arbitrating cancellation disputes;

    • Providing compensation for no-shows, delays, or unsatisfactory service delivery.
       

7.3 Platform-Mediated Transactions

  • If a booking is processed via MERRISH’s secure payment gateway or a third-party payment facilitator integrated into the Platform, certain protections and processes may apply:

    • Cancellation requests must be submitted in writing to MERRISH support within the cancellation window stated at the time of booking.

    • Refund eligibility will depend on service timelines, reasons for cancellation, and Vendor response.

    • In case of a dispute, MERRISH may mediate on a case-by-case basis but does not guarantee resolution in favor of either party.
       

7.4 No Refund Policy

  • Unless explicitly specified in writing at the time of transaction or outlined in a Vendor’s cancellation policy, no refunds shall be issued by MERRISH to either Clients or Vendors.
     

  • This includes, but is not limited to:

    • Platform subscription or listing fees paid by Vendors;

    • Lead generation or promotional services availed by Vendors;

    • Booking fees or deposits paid by Clients through or outside the Platform.
       

7.5 Vendor Cancellation Policy Requirements

  • Vendors must clearly outline their cancellation and refund terms in their listings, including:

    • Cut-off periods for full/partial refunds;

    • Non-refundable deposits;

    • Rescheduling options and any associated fees;

    • Force majeure exceptions (e.g., in case of emergencies, natural disasters, or government restrictions).
       

  • Failure to provide or honor a stated policy may result in penalties, account suspension, or removal from the Platform.
     

7.6 Client Responsibilities

  • Clients are responsible for reviewing Vendor-specific policies prior to booking.

  • Cancellations made after the stipulated deadline may not be eligible for refunds.

  • Clients must ensure they have received written confirmation of any cancellation or refund commitment from the Vendor.
     

7.7 Exceptions and Force Majeure

  • In cases of force majeure (e.g., pandemics, natural calamities, government restrictions), both Clients and Vendors are encouraged to act in good faith to find equitable resolutions, such as rescheduling, partial refunds, or credit notes.

  • MERRISH may, at its discretion, intervene to recommend a resolution but shall not be liable for losses incurred due to such events.

 
8. LIMITATION OF LIABILITY

8.1 General Limitation

  • To the fullest extent permitted by applicable law, MERRISH, its affiliates, directors, employees, agents, licensors, or service providers shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including but not limited to:

    • Loss of profits, revenue, data, goodwill, or business opportunities;

    • Personal injury or property damage;

    • Delays, failures, interruptions, or corruption of any data transmitted in connection with the use of the Platform.
       

8.2 User Disputes

  • MERRISH acts solely as a digital intermediary and does not endorse, warrant, or guarantee any user (Client or Vendor) listed on the Platform.

  • MERRISH is not responsible for:

    • Disputes or misunderstandings between Clients and Vendors;

    • Non-performance, cancellation, or substandard delivery of services;

    • Breaches of contract, fraud, or misrepresentation by either party.

  • Users are solely responsible for their interactions and agreements with each other and must conduct appropriate due diligence.
     

8.3 Platform Availability

  • The Platform is provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied, including but not limited to:

    • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

    • Warranty that the Platform will be error-free, secure, timely, uninterrupted, or meet your expectations.

  • MERRISH does not warrant that any errors or defects will be corrected or that the content or platform is free of viruses or other harmful components.
     

8.4 Third-Party Services and Content

  • The Platform may contain links to third-party websites, content, or services that are not owned or controlled by MERRISH.

  • MERRISH is not responsible or liable for any third-party content, services, or actions, and your use of such third-party services is at your own risk.
     

8.5 Limitation of Damages

  • In the event that MERRISH is held liable for any reason notwithstanding the foregoing limitations, the maximum liability of MERRISH shall not exceed:

    • For Clients: The amount paid through the Platform for the specific service in dispute;

    • For Vendors: The most recent monthly subscription or commission paid to MERRISH.
       

8.6 Jurisdiction-Specific Limitations

  • Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such cases, the above limitations may not apply to you, and MERRISH’s liability shall be limited to the maximum extent permitted by law in your jurisdiction.

 
9. INDEMNIFICATION

9.1 General Obligation to Indemnify You agree to fully indemnify, defend, and hold harmless MERRISH, its parent entities, affiliates, subsidiaries, licensors, officers, directors, shareholders, employees, contractors, agents, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all third-party claims, demands, suits, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs), arising out of or relating to:

 

  • Your access to, use of, or misuse of the Platform;

  • Your violation or alleged violation of these Terms or any other applicable policy or agreement with MERRISH;

  • Any content or information you upload, post, submit, or otherwise transmit through the Platform;

  • Any breach of a contract or transaction between you and another user (Client or Vendor);

  • Your violation of any applicable law, rule, or regulation;

  • Your infringement or misappropriation of any intellectual property, privacy, publicity, or other rights of any third party.


9.2 Vendor-Specific Liability Vendors shall indemnify and hold harmless the Indemnified Parties for any claims or damages arising from:

  • False, misleading, or fraudulent representations made in Listings or to Clients;

  • Non-compliance with applicable licensing, tax, or regulatory obligations;

  • Any disputes with Clients over services, performance, or deliverables;

  • Unauthorized use of copyrighted materials, brand assets, or third-party property.
     

9.3 Client-Specific Liability Clients shall indemnify and hold harmless the Indemnified Parties for any claims or damages arising from:

  • Misuse of services or malicious reporting of Vendors;

  • Breach of payment obligations, cancellation terms, or review policies;

  • Unauthorized sharing or misuse of confidential or proprietary Vendor content.
     

9.4 Procedure and Cooperation MERRISH reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses and in all related investigations or legal proceedings.

9.5 Survival Your indemnification obligations shall survive termination or expiration of these Terms and your use of the Platform.

 
10. TERMINATION

10.1 Termination by MERRISH MERRISH reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to all or part of the Platform, including your account, if:

  • You violate or breach any provision of these Terms or any other applicable Platform policy;

  • You engage in illegal, fraudulent, abusive, harassing, or harmful behavior;

  • Your account is found to be inactive, dormant, misused, or associated with suspicious activity;

  • MERRISH is required to do so by law, court order, or governmental authority;

  • Continuing your access may pose a risk to MERRISH, other users, or the integrity of the Platform.
     

10.2 Termination by User You may voluntarily terminate your account by submitting a written request to MERRISH. Termination will be effective once your account has been reviewed, and all outstanding dues or disputes have been resolved.

10.3 Effect of Termination

  • Upon termination of your access to the Platform for any reason:

    • All rights, licenses, and privileges granted to you under these Terms shall immediately cease;

    • Your account and any associated content, listings, messages, or data may be permanently deleted from the Platform’s systems;

    • You shall remain liable for any outstanding obligations, payments, or indemnification duties accrued prior to termination.
       

10.4 No Liability for Termination MERRISH shall not be liable to you or any third party for any compensation, damages, or loss arising out of or related to the suspension or termination of your account, or the deletion of your content.

10.5 Survival The provisions of these Terms that by their nature should survive termination (including but not limited to Indemnification, Limitation of Liability, Dispute Resolution, and Governing Law) shall continue in full force and effect.
  
11. MODIFICATIONS

11.1 Right to Modify MERRISH reserves the right, at its sole discretion, to revise, update, modify, or replace these Terms, in whole or in part, at any time.

11.2 Notification of Changes All changes will be effective immediately upon being posted on the Platform, unless otherwise stated. The updated Terms will reflect the “Last Updated” date to indicate the most recent revision.

11.3 Continued Use as Acceptance Your continued use of the Platform after any changes to these Terms constitutes your full acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform and terminate your account.

11.4 User Responsibility It is your responsibility to periodically review the Terms to stay informed of any updates or modifications. MERRISH is not obligated to provide personal or direct notice of changes to each user. 
 
12. GOVERNING LAW AND DISPUTES

12.1 Governing Law These Terms and any disputes, controversies, or claims arising out of or in connection with the Platform, its usage, or the services provided by MERRISH shall be governed by and construed exclusively in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

12.2 Jurisdiction Subject to the provisions below, the courts located in Delhi, India shall have exclusive jurisdiction over all disputes arising out of or relating to these Terms or your use of the Platform. You hereby irrevocably submit to the jurisdiction of such courts and waive any objection to the venue or inconvenience of the forum.

12.3 Dispute Resolution Before initiating any legal action, the parties shall attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof through amicable negotiations, for a minimum of thirty (30) days.

12.4 Arbitration (Optional Clause) In the event the dispute cannot be resolved amicably, it shall be referred to final and binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted by a sole arbitrator appointed by MERRISH and shall take place in Delhi. The language of arbitration shall be English.

12.5 Injunctive Relief Notwithstanding anything to the contrary in this section, MERRISH may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened misuse of its intellectual property, confidential information, or other rights.

12.6 Waiver of Class Actions To the fullest extent permitted by law, you and MERRISH agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. MISCELLANEOUS

14.1 Entire Agreement These Terms, along with our Privacy Policy and any other legal notices published by MERRISH, constitute the entire agreement between you and MERRISH concerning the use of the Platform and supersede any prior agreements, oral or written, between you and MERRISH.

14.2 Waiver No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure of MERRISH to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

14.4 Force Majeure MERRISH shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, natural disasters, pandemic, power outages, or failures of suppliers or third-party service providers.

14.5 Assignment You may not assign or transfer your rights or obligations under these Terms without prior written consent from MERRISH. MERRISH may freely assign or transfer its rights and obligations without restriction.

14.6 No Agency Relationship No agency, partnership, joint venture, or employment relationship is created as a result of these Terms or your use of the Platform, and neither party has any authority to bind the other in any respect.

14.7 Survival All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
